These terms govern buying and selling through the LopoRail marketplace ("the Marketplace"). By listing an item or buying one you accept these terms.
1. Who we are, and these terms
1.1 The Marketplace is operated by LopoRail ("we", "us"). We provide the platform; the contract of sale is between the seller and the buyer.
1.2 These terms sit alongside the Marketplace Vendor Verification Terms, the Marketplace Fee Terms, the Marketplace Shipping Terms, the Ad Content & Acceptable Use Policy and our Privacy Policy.
2. Accounts and eligibility
2.1 You must hold a LopoRail account and be 18 or over to buy or sell on the Marketplace — you must be old enough to form a binding contract. You are responsible for your account and for the accuracy of your listings and purchase details.
3. Listings
3.1 Sellers are responsible for their listings: accurate descriptions, photos, condition and any provenance (for example a model's passport or a company/model link).
3.2 Prohibited items. You may not list items that are illegal, unsafe or counterfeit, or that are prohibited by law — including live animals, weapons, and any item in the restricted categories of the Ad Content & Acceptable Use Policy. We may remove any listing.
3.3 Self-purchase is not permitted.
4. Buying, payment and escrow
4.1 When a buyer pays, the funds are held by us in escrow; the order moves through the states pending → paid → escrowed → shipped → released, with cancelled and refunded as the exit paths.
4.2 Escrow release: funds are released to the seller when the buyer confirms receipt, or automatically 14 days after the order is marked shipped if no dispute has been raised.
4.3 Payout timing: released funds are paid to the seller within 5 business days, to the seller's chosen payout method.
4.4 Currency: amounts are shown in GBP.
5. Fees
5.1 We charge a seller-side commission of 10% of the item price. The commission does not apply to shipping. It is shown to the seller before a listing is published and at checkout — see our Marketplace Fee Terms.
5.2 Seller payouts are made net of the 10% commission and any payment-provider charges; shipping and insurance pass through and are not commissionable.
6. Delivery, cancellation and refunds
6.1 Sellers dispatch within 3 business days and provide tracking where applicable.
6.2 Cancellations and refunds. A buyer may cancel before dispatch for a full refund. After dispatch, refunds follow the escrow states: a buyer may request a refund where an item is not as described or does not arrive. The cost of return postage is borne by the party at fault. The commission is charged only on completed sales; a fully refunded order is not commissionable.
7. Disputes
7.1 If a buyer and seller cannot resolve a problem, either may raise a dispute with us. We review the evidence and may release the funds to either party. We aim to resolve disputes within 14 days.
8. Our role and liability
8.1 We hold funds in escrow as a stakeholder and provide the platform; we are not the seller and do not warrant items. Our total liability for any order is limited to the amount held in escrow for that order. Nothing in these terms limits liability that cannot be limited by law.
8.2 We may suspend accounts, remove listings, or hold or reverse funds where we reasonably suspect fraud or a breach.
9. Tax
9.1 Sellers are responsible for any tax (including VAT) on their sales and for their own tax registrations. We do not act as a marketplace facilitator, and we do not issue invoices on the seller's behalf, unless we state otherwise.
10. Changes and governing law
10.1 We may change these terms; continued use accepts the change. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that consumers may also bring proceedings in their country of residence under mandatory local law.
