Traincestry — Institutional Data Licence (Template)

This is our standard institutional data licence. It is granted between
LopoRail ("Licensor") and the licensee ("you") and completed by an agreed
licence schedule (scope, fees and term).
1. Grant
1.1 Subject to this licence and payment of the Fee, LopoRail grants you a
non-exclusive, non-transferable licence to access and use the **Licensed
Data** (the datasets named in Schedule 1: dated records, people links,
transcriptions, photographs, editorial and analytics) for the **Permitted
Purpose** in Schedule 1.
2. Scope
2.1 Permitted use only: **internal research / named published outputs /
named platform integration** (as ticked in Schedule 1). Use outside that scope
needs our written agreement.
2.2 No redistribution: you may not sell, sub-license, publish as a data
service, or make the Licensed Data available to third parties except as
expressly permitted.
2.3 No competing service: you may not use the Licensed Data to build or
enrich a substantially similar commercial database or service.
2.4 Attribution: display "© LopoRail / Traincestry" (and any upstream
credits we notify) on any output.
3. Fees, term and renewal
3.1 Fee: as set out in the agreed licence schedule, payable annually in
advance.
3.2 Term: 12 months, auto-renewing unless either party gives 30 days'
notice.
3.3 Seats / API volume / published-output quota: **as set out in the agreed
licence schedule**.
4. Data protection
4.1 Each party complies with applicable data-protection law. Where the
Licensed Data contains living individuals' data, you will apply our
living-person redaction rules and use it only for the Permitted Purpose.
4.2 You will not attempt to re-identify redacted individuals.
5. Upstream and third-party rights
5.1 The Licensed Data includes material under third-party licences (e.g. Open
Government Licence, ODbL, source archives). **Their terms travel with the
data** and you must comply with them; upstream attribution cannot be removed.
6. Warranties, liability, termination
6.1 The Licensed Data is provided "as is"; historical records may contain gaps
or errors.
6.2 LopoRail's aggregate liability is limited to the Fees paid in the
[12] months before the claim.
6.3 We may terminate for breach or misuse; on termination you delete the
Licensed Data and confirm deletion in writing.
7. Governing law
7.1 The laws of England and Wales, with the usual consumer/statutory
carve-outs.

- Permitted Purpose: internal research, named published outputs and/or a
named platform integration.
- Seats / API volume / output quota.
- Fee and term.
